Terms of Use for the MyPart.ai Website
These Terms of Use ("Terms") govern the use of the MyPart’s Informational Website (mypart.ai) and mypart.com, operated by MyPart LTD (“Company”, “MyPart”). The Terms come into effect on January 1st, 2025. Use of the Website constitutes full and irrevocable agreement to these Terms by the User or, if applicable, the legal entity on whose behalf the User accesses the Website.
1. Definitions
In this document, the following terms shall have the meanings specified alongside them:
1.1 “MyPart” is a technology development, R&D and services company.
1.2. "AI Technology" means the Company's proprietary artificial intelligence algorithms, machine learning models, products and related technology for music and visual analysis, discovery, and matching.
1.3. "Intellectual Property Rights" means all rights, titles, and interests in and to any and all intellectual property, including without limitation: (a) patents, patent applications, and inventions (whether patentable or not); (b) trademarks, service marks, trade names, logos, and trade dress, whether registered or unregistered, and all associated goodwill; (c) copyrights and moral rights, including rights in software, databases, audiovisual works, literary works, and any other protectable works of authorship; (d) trade secrets, know-how, proprietary information, algorithms, models, data sets, methods, techniques, and processes; (e) rights in domain names and social media handles; and (f) all other intellectual property and similar rights recognized under applicable law, including applications, registrations, renewals, extensions, and rights to enforce and license any of the foregoing.
1.4. "Submitted Content" means any text, image, video, audio, or metadata uploaded or otherwise submitted by Users through forms or interactive features on the Website.
1.5. "Third-Party Content" means any music, audio, visual, or textual content not owned by the Company that may be referenced or described on the Website.
1.6. "User" means any person or legal entity using the Website for the purpose of learning about the Company and using its services.
1.7. "Website" means the informational website describing the Company's artificial intelligence (AI) technology for song search, matching, and discovery services (mypart.ai) and the platform itself (available via mypart.com).
2. Nature and Scope of the Website
2.1 MyPart is an AI-powered platform that transforms how music is discovered, selected, and matched to visual and textual content. MyPart uses cutting-edge AI to deeply understand music, lyrics and sound.
2.2 The Company's technology enables hyper-relevant music recommendations that are context-aware, emotionally aligned, and creatively inspiring. Whether integrated via API or used by individuals and music professionals alike, MyPart matches relevant music to every moment —automatically and intelligently.
2.3 mypart.ai is an informational and marketing platform that provides descriptions about the Company and its current and planned AI music discovery and matching capabilities.
2.4. mypart.com grants access to a functional platform and service, as well as a demo service.
3. Registration & Eligibility for Use
Use of the Website is permitted for Users who meet all the following conditions:
3.1. The User is an adult over 18 years of age. Minors over 16 years of age may use the Website with the accompaniment and consent of a parent or legal guardian.
3.2. The User has full legal capacity to perform binding legal actions and is not limited by law or court order from entering into binding agreements.
3.3. The Company reserves the right to require age and/or identity verification at any time, and to block access to the Website for users who do not meet these requirements.
3.4. By using the Website, the User declares and undertakes that they meet all the eligibility requirements detailed above.
3.5. Certain sections or features of the Website may require submission of personal or business information. By submitting such information, the User warrants its accuracy and completeness.
4. User Obligations & Prohibited Uses
The User undertakes to use the Website in accordance with all applicable laws. Users are strictly prohibited from:
4.1. Using the Website for any illegal purposes.
4.2. Attempting to access non-existent services or platforms.
4.3. Attempting to reverse engineer, copy, or replicate any website content or proprietary information.
4.4. Misrepresenting the nature or availability of the Company's services based on Website content.
4.5. Creating false expectations about the Company's current capabilities or claiming access to operational AI technology.
4.6. Using any information from the Website to develop competing AI music analysis or matching technologies
4.7. Systematic downloading, scraping, or automated access to Website content.
4.8. Attempting to circumvent the Website's technology or security measures.
4.9. Uploading or submitting any material that infringes third-party intellectual property rights, or that contains malware, spyware, or harmful code.
4.10. Impersonating any person or entity or misrepresenting affiliation with the Company or any third party.
5. Privacy & Data Protection
5.1. By using the Website, the User confirms and agrees that personal and technical information may be collected and processed by the Company in accordance with applicable privacy laws, including the General Data Protection Regulation (GDPR), where applicable, and as further described in the Company’s Privacy Policy.
5.2. The Company may collect the following types of data through forms and interactive tools on the Website:
5.2.1. Demo Requests: name, company name, position, reason for inquiry, and uploaded media (images or videos) along with optional context;
5.2.2. API Access Requests: name, company name, position, and reason for inquiry;
5.2.3. AI Song Search & Additional Use Cases: free-form text prompts, name, email, details about current projects, and music catalog preferences;
5.2.4. User Information: first and last name, email, phone number, company type, primary or other occupation, country, state, and credentials to support a user login.
5.2.5. In addition to the above, the Company may collect standard website usage and analytics data such as page views, visitor location, browser type, device type, and browsing patterns, for the purpose of improving Website performance, content, and user experience.
5.3. The legal basis for processing personal data includes the User’s consent, performance of a contract (e.g., responding to a request), and the Company’s legitimate interests in improving its services and website functionalities, as applicable under the GDPR and Israeli Privacy Protection Law. Data may be stored in Israel or in jurisdictions with adequate protection as recognized by the Israeli Privacy Authority or European Commission. The Company uses cloud service providers with appropriate security certifications. Personal data will be retained only as long as necessary for the purposes for which it was collected, or as required by applicable law.
5.4. The Company undertakes to implement appropriate technical and organizational measures to protect all collected data against unauthorized access, disclosure, alteration, or destruction. Personal information will not be sold or shared with third parties except as required by law or as necessary to provide services requested by the user.
5.5. Users have the right to access personal data held about them, request corrections, or request that their data be deleted, subject to legal and contractual obligations. Requests can be submitted through the contact information provided on the Website.

6. Intellectual Property Rights
All Intellectual Property Rights in the Website content, including but not limited to text, images, design, informational materials, and all Company technology, are the exclusive property of the Company. The Company's AI, technology concepts, methodologies, and planned implementations described on the Website constitute proprietary trade secrets and confidential information. Users are strictly prohibited from copying, reproducing, distributing, or creating derivative works based on the Website content without proper authorization. Users acknowledge that any AI, technology concepts, algorithms, or methodologies described on the Website are proprietary to the Company and protected by intellectual property laws. Third-party trademarks, service marks, and trade names mentioned on the Website are the property of their respective owners. Users grant the Company a non-exclusive, royalty-free, worldwide license to use any Submitted Content solely for the purpose of demonstrating, testing, or improving the Company’s technology. Users represent that they have all rights necessary to grant such a license.
7. Website Availability & Limitations
The Company makes no warranties regarding the accuracy or completeness of the information and services provided. Descriptions may relate to planned future services that are not currently available. The Company reserves the right to modify, suspend, or discontinue the Website at any time, with or without notice. The Company makes no representations or warranties regarding the future availability, functionality, or performance of the described technology. 8. Disclaimers & Limitation of Liability
THE WEBSITE AND ALL INFORMATION CONTAINED THEREIN ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO A USER EXCEED ONE HUNDRED DOLLARS ($100). THE COMPANY DISCLAIMS ALL LIABILITY FOR ANY THIRD-PARTY CONTENT REFERENCED OR DESCRIBED ON THE WEBSITE. THE COMPANY'S LIABILITY (IF ANY) IS LIMITED TO PROVIDING INFORMATIONAL CONTENT THROUGH THE WEBSITE. THE COMPANY IS NOT RESPONSIBLE FOR (A) ANY MISUNDERSTANDING ABOUT THE AVAILABILITY OF SERVICES BASED ON WEBSITE CONTENT; (B) ANY BUSINESS DECISIONS MADE BASED ON THE INFORMATIONAL CONTENT PROVIDED; (C) ANY TECHNICAL ISSUES OR INTERRUPTIONS IN WEBSITE AVAILABILITY; (D) ANY RELIANCE ON DESCRIPTIONS OF AI CAPABILITIES OR FUTURE SERVICES; AND (E) ANY LOSSES RESULTING FROM THE UNAVAILABILITY OF DESCRIBED SERVICES. THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, OR DATA LOSS, ARISING FROM THE USE OR INABILITY TO USE THE WEBSITE. THE COMPANY SHALL NOT BE RESPONSIBLE FOR ANY DELAY OR FAILURE TO PERFORM DUE TO CAUSES BEYOND ITS REASONABLE CONTROL, INCLUDING ACTS OF GOD, CYBERATTACKS, INTERNET OUTAGES, OR GOVERNMENT ACTIONS.
9. Indemnification
Users agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses arising from either of: (a) User's violation of these Terms; (b) User's misuse of Website information; (c) User's violation of any applicable laws or regulations; (d) Any third-party claims related to User's use of the Website; (e) infringement of third-party intellectual property rights arising from Submitted Content or use of Website features.
10. Termination
The Company may terminate or suspend user access to the Website immediately for violations of these Terms, including but not limited to illegal use or attempts to compromise the Website's security. Upon termination, users must cease all use of the Website and any content accessed through it. The provisions of these Terms regarding intellectual property, limitation of liability, and indemnification shall survive termination.
11. Changes to Terms and Services
The Company reserves the right to modify these Terms at any time. Users will be notified of material changes through the Website or via email. Continued use of the Website after changes constitutes acceptance of the modified Terms. The Company reserves the right to modify, discontinue, or change the scope of planned services described on the Website without prior notice. Users are encouraged to review these Terms periodically for updates.
12 Applicable Law & Jurisdiction
These Terms shall be governed by the laws of the State of Israel. Any disputes shall be subject to the exclusive jurisdiction of the courts in Tel Aviv-Jaffa district. Users waive any right to trial by jury and agree to resolve disputes through binding arbitration if permitted by law. If binding arbitration is not enforceable under applicable law, disputes shall be resolved exclusively by the competent courts in Tel Aviv-Jaffa.
13. General Provisions
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The Company's failure to enforce any right or provision shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement between the user and the Company regarding the use of the Website. No agency, partnership, joint venture, or employment relationship is created between the Company and users through these Terms
